GERARDO A. AYALA SAN VICENTE is a partner at Ayala SV Abogados (ASV). He has broad experience in general corporate matters and complex corporate transactions in Mexico, the US and Latin America. His practice focuses on mergers and acquisitions, joint ventures, corporate and structured finance, capital markets, fund formation, real estate, project finance and infrastructure, financial derivatives and financial services regulation.

Mr. Ayala advises clients in mergers and acquisitions, including asset purchase transactions, spin-offs, joint ventures and shareholders’ agreements, and he has vast experience in corporate governance. He is usually involved in all aspects of the sale process, including working with the client’s financial advisors and Board.

He advises issuers and underwriters in capital-raising transactions in the domestic and international capital markets; lenders and borrowers in financing transactions, including syndicated loans and debt restructurings, complex repayment structures and collateral mechanisms.

His experience includes several high profile transactions, including the merger of one of the largest financial groups in Mexico, the sale of a couple of pension fund businesses (AFORES), the acquisition of large real estate and infrastructure assets portfolios, negotiating and structuring a joint venture with JPMorgan-Chase for the operation of a credit card business in Mexico, a joint venture with Royal & Sun Alliance for the development and operation of a bancassurance business in Mexico, rights offers of public companies listed in the Mexican Stock Exchange, a number of Rule 144A / Reg. S offerings of securities by Mexican issuers and private placements of securities – 4(a)(2) notes.

Before founding ASV, Mr. Ayala was a Vice President at Macquarie Infrastructure and Real Assets (Mexico), where he participated in the acquisition and financing of several real asset portfolios, a follow-on offering of one of the largest REITs in Mexico, project financings, joint ventures for individual investments and investments in infrastructure assets.

He spent 5 years as head counsel for strategic transactions and the investment banking division of Ixe Grupo Financiero (currently Banorte), where he was responsible for strategic transactions of the group, capital markets (equities, note offerings, securitizations, tender and exchange offers), corporate and structured finance, M&A transactions, financial derivatives and certain regulatory matters.

He also worked as a foreign associate at Cleary, Gottlieb, Steen & Hamilton in New York in 2002-2003 and as a corporate lawyer at leading Mexico City law firms for a number of years.

In 2012, Mr. Ayala received the Financial Services Team of the Year 2012 (Ixe Banco) award from the International Law Office (Latin American Counsel Awards).

MAURICIO MARTÍNEZ RENTERÍA is a partner at Ayala SV Abogados (ASV). He has broad experience in corporate and structured finance; capital markets; project finance, mergers and acquisitions transactions and joint ventures; banking and financial services regulation; antitrust and general corporate practice.

Mr. Martinez has advised clients on capital market transactions, including domestic and cross-border securitizations and offerings of a variety of asset-backed securities; he represents issuers, underwriters, lead institutional investors and investments banks, both in the local and international markets, in connection with public and private equity and short and long term debt offerings, securitizations and offerings of listed investment funds or CKDs., as well as in capital-raising transactions in the domestic and international capital markets (equities, debt issuances and securitizations), and tender offers in the Mexican Stock Exchange.

He has broad experience advising clients, including financial institutions, public and private companies participating in diverse industries, including financial services, telecommunications, energy, entertainment and retail, as well as governmental entities, on general ongoing corporate, transactional and regulatory matters, including corporate governance and corporate compliance matters.

He has vast experience representing lenders and borrowers in structured financing transactions, including bilateral and syndicated loans and debt restructurings, complex repayment structures and collateral mechanisms and in the financing of industrial, commercial and housing real estate projects. He has advised buyers and sellers, both domestic and international, in a large number of acquisitions, stock and asset purchases and sale transactions and joint ventures, mergers, spin-offs, co-investments and in shareholders’ agreements.

His experience on antitrust related matters include representing clients participating on a wide variety of industries ranging from entertainment, telecom and steel industries to retail and finance services, in numerous cartel investigations, as well as on processes of investigation of monopolistic practices and procedures derived from alleged monopolistic practices and unlawful concentrations before the Mexican Federal Antitrust Commission. Additionally, Mr. Martinez advices clients in pre-merger filings and during the process of notifying concentrations to the Mexican Federal Antitrust Commission.
